Corporate law regulates the legal framework for the functioning of business companies, including their establishment, management, relations between partners and company bodies, their dissolution and other matters related to business.
Limited liability company (sro) – the most common form of company, where partners are liable only up to the amount of their unpaid deposit.
Joint-stock company (as) – a capital company whose share capital is divided into shares.
Public company (vos) – a personal company, where all partners are liable for the company's obligations without limit.
Limited partnership (pc) – a combination of personal and capital company, where at least one partner guarantees unlimited and the others guarantee up to the amount of their contribution.
Team – a community of persons with the aim of supporting its members or doing business.
Setting up a company involves the following steps:
1. Drafting of the partnership agreement or founding deed at a notary.
2. Repayment of the share capital (e.g. at least CZK 1 for limited liability companies).
3. Registration of the company in the commercial register.
4. Registration with relevant authorities, e.g. at the tax office.
Liquidation of a company occurs when it is dissolved without a legal successor. The liquidator determines the remaining assets, pays off the creditors and, if necessary, distributes the assets among the partners. The process starts with registration in the commercial register and takes place under the supervision of the court.
